LICENSE AGREEMENT – BELLEROPHON HELP DESK (HD) V2.0 IMPORTANT: THESE LICENSE TERMS ARE AN AGREEMENT BETWEEN ARGONAUT SYSTEMS LTD (ARGONAUT SYSTEMS) AND YOU (ACTING AS AN INDIVIDUAL OR, IF APPLICABLE, ON BEHALF OF THE INDIVIDUAL, COMPANY, ORGANISATION OR ENTITY ON WHOSE COMPUTER THE SOFTWARE IS INSTALLED). PLEASE READ THEM CAREFULLY. THEY APPLY TO THE SOFTWARE PRODUCT ACCOMPANYING THIS AGREEMENT (THE “SOFTWARE”) AS WELL AS UPDATES, SUPPLEMENTS, INTERNET BASED SERVICES AND SUPPORT SERVICES IF YOU CLICK THE “ACCEPT” OPTION AND INSTALL THE SOFTWARE YOU WILL BE BOUND BY THIS AGREEMENT. You are not required to accept these terms but, unless and until you do, the Software will not install and you will not be authorized to use the Software. If you do not wish to agree to these terms, please click “DO NOT ACCEPT” and obtain a refund of the purchase price as follows: • If you purchased a download, follow the instructions on the confirmation email you received in connection with the purchase. NOTICE: THE SOFTWARE MAY CONTAIN A “TIME OUT’ FEATURE THAT WILL RENDER THE SOFTWARE INOPERATIVE AT THE END OF THE TRIAL PERIOD (AS DEFINED BELOW). END USER SOFTWARE LICENSE AGREEMENT 1. License Grant; Related Provisions a. Grant of License Argonaut Systems, subject to the terms and conditions of this Agreement, hereby grants to you a non-exclusive and non-transferable license during the Term to use the Software only in executable or object code form solely for your personal or internal business purposes. This license authorizes you to use the Software on or in conjunction with up to (i) the number of users specified by your order for the Software, or (ii) in the case of Software purchased on a CD or other physical medium, the number of users specified on the Software package. b. Limitations You shall not, and shall not permit any third party to, (i) duplicate the Software for any purpose other than as reasonably necessary to use the same as contemplated by this Agreement and for off-line archival and disaster recovery purposes; (ii) except for temporary transfer in the event of computer malfunction, install the Software on a computer that has not been granted a license; (iii) re-sell the software. (iv) publish the Software or use the same other than for the purposes described in Section 1.a of this Agreement; (v) except as expressly authorized by law, reverse engineer, disassemble, decompile, translate, reconstruct, transform or extract the Software or any portion of the Software (including without limitation any related malware signatures and malware detection routines); (vi) except as expressly authorized by law, change, modify or otherwise alter the Software (including without limitation any related malware signatures and malware detection routines); (vii) transfer, pledge, rent, share or sublicense the Software; (viii) grant any third party access to or use of the Software on a service bureau, timesharing, subscription service, rental or application service provider basis or otherwise; or (ix) defeat or circumvent, attempt to defeat or circumvent, or authorize or assist any third party in defeating or circumventing controls on the installation or use of copies of the Software. c. Updates Argonaut Systems, from time to time during the Term, may provide updates to the Software. Updates will be deemed Software for all purposes under this Agreement. You acknowledge that you must routinely download and permit installation of Updates in order to obtain maximum benefit from the Software. d. Upgrade or Conversion To upgrade or convert software, you must first be licensed for the software that is eligible for the upgrade or conversion. Upon upgrade or conversion, this agreement takes the place of the agreement for the software you upgraded or converted from. After you upgrade or convert, you should no longer use the earlier version of the software you upgraded or converted from. e. Support Services Argonaut Systems provides support services for the software as described in section 5 below. 2. Trial Period; Termination a. Trial Period The trial period of the software will commence on the date you download or otherwise acquire the Software, and will continue for 30 days. b. Termination Argonaut Systems, in addition to such other rights that may be available at law or equity, shall be entitled to terminate this Agreement at any time without notice if you commit a material breach of this Agreement. c. Effect of Termination On the expiration or termination of this Agreement, you will cease using the Software, Argonaut Systems may cease making Updates available to you, and the Software may cease functioning. Sections 1, 3, 4, 5 6 and 7 will survive the expiration or termination of this Agreement. 3. Ownership Argonaut Systems reserves all rights in the Software not expressly granted by this Agreement (whether published or unpublished). All copyrights, trademarks and other conceivable intellectual property rights in and to the Software (including, but not limited to, data files, images appearing in the Software and screen displays as well as any and all documentation relating to the Software) are owned by Argonaut Systems, and are protected by United Kingdom and foreign copyright laws, international treaties and other applicable laws. Any copy of the Software you are allowed to make pursuant to this Agreement must contain the entire copyright and other notices included with the original copy of the Software. If the software is not properly licensed it will become inoperative. You will have to obtain a properly licensed copy of the software, updates, upgrades or services from Argonaut Systems. You may only obtain updates or upgrades for the software from Argonaut Systems. 4. Proof of License If you acquired the software on a CD or other physical medium, a genuine Argonaut Systems proof of license label with a genuine copy of the software identifies software licensed under the terms of this agreement. To be valid, this label must appear on Argonaut Systems’ packaging. If you receive the label separately, it is invalid. You should keep the packaging that has the label on it to prove that you are licensed to use the software. If you purchased the Software by download, the confirmation email you received in connection with the purchase of the software is your proof of license. Proof of license may be subject to verification by Argonaut Systems’ records. If you upgrade or convert the software, your proof of license is identified by • the genuine Argonaut Systems proof of license for the software you upgraded or converted from; and • proof of license purchase and any accompanying collateral identifying the software you upgraded or converted to. Proof of license may be subject to verification by Argonaut Systems’ records. 5. Support Support will be provided within Argonaut Systems’ office hours being 8:00am to 5:00pm, Monday to Friday, Public Holidays excepted, via the medium of telephone, email and remote access. Telephone and internet service charges may apply 6. Warranties a. General Argonaut Systems warrants, that on delivery of the Software and for a period of thirty (30) days thereafter, that the medium (if any) on which the Software is delivered will be free of material defects, and that if you follow the instructions the Software will perform substantially in accordance with the applicable specifications. The foregoing warranty applies only to the Software as originally delivered, and does not apply to Updates. Your sole and exclusive remedy for breach of this Warranty is replacement of the defective media or Software or, at Argonaut Systems’ option, return of the Software for a full refund. In order to exercise your rights under this Section 6, you must de-install and destroy all copies of the Software you may have made (including all archival copies), and (i) if you purchased the Software by download, follow the instructions on the confirmation email you received in connection with the purchase, or (ii) for all other purchases, return the Software in its original package, along with your receipt, to the point of purchase. b. Beta Versions Notwithstanding the provisions of Section 6.a, THE PROVISIONS OF THIS SECTION 6.b APPLY IN PLACE OF SECTION 6.a IF (AND ONLY IF) THE SOFTWARE IS A “BETA TEST” VERSION. In view of the evaluation nature of Software, Software is provided on an “as is”, “as available” basis, without warranty and without support or other services by Argonaut Systems. YOU AGREE TO USE THE “BETA TEST” SOFTWARE STRICTLY FOR THE PURPOSES OF EVALUATION AND TESTING, AND THAT YOUR RELIANCE ON THE AVAILABILITY OR ACCURACY OF THE “BETA TEST” SOFTWARE SHALL BE ENTIRELY AT YOUR OWN RISK. c. Disclaimer EXCEPT AS EXPRESSLY PROVIDED BY SECTION 6.a OF THIS AGREEMENT, ARGONAUT SYSTEMS DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, MEDIA AND ANY OTHER SUBJECT MATTER OF THIS AGREEMENT, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTY OF MERCHANTABILITY, THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTY OF NONINFRINGEMENT. ARGONAUT SYSTEMS DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THE SOFTWARE WILL PROVIDE 100% PERFORMANCE. Some jurisdictions do not allow limitations on an implied warranty, so the above limitations may not apply to you. You may have other rights that vary from jurisdiction to jurisdiction. 7. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARGONAUT SYSTEMS OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE OR SPECIAL DAMAGES WHATSOEVER, WITHOUT REGARD TO CAUSE OR THEORY OF LIABILITY (INCLUDING, WITHOUT LIMITATION, DAMAGES INCURRED FOR LOSS OF BUSINESS PROFITS OR REVENUE, LOSS OF PRIVACY, LOSS OF USE OF ANY COMPUTER OR SOFTWARE INCLUDING THE SOFTWARE, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE SOFTWARE PROVIDED HEREUNDER, EVEN IF ARGONAUT SYSTEMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ARGONAUT SYSTEMS’ LIABILITY RELATED TO THE SOFTWARE EXCEED THE LESSER OF THE FEES YOU ACTUALLY PAID FOR THE SOFTWARE AND ARGONAUT SYSTEMS’ SUGGESTED RETAIL PRICE FOR THE SOFTWARE AS OF THE DATE YOU RECEIVED IT. THE FOREGOING LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. 8. Miscellaneous a. Notice Argonaut Systems may deliver any notice to you via pop-up window, dialog box or other means, even though you may not receive the notice unless and until you launch the Software. Any such notice will be deemed delivered on the date Argonaut Systems first makes it available through the Software, irrespective of when you actually receive it. b. Privacy AS DESCRIBED BELOW, USING THE SOFTWARE ALSO OPERATES AS YOUR CONSENT TO THE TRANSMISSION OF CERTAIN COMPUTER INFORMATION DURING ACTIVATION, VALIDATION AND FOR INTERNET-BASED SERVICES. c. Activation Activation associates the use of the software. During activation, the software will send information about the software and the device to Argonaut Systems. This information includes the version, the license version, language and the product ID of the software, Internet protocol address of the device and information derived from the hardware configuration. BY USING THE SOFTWARE, YOU CONSENT TO THE TRANSMISSION OF THIS INFORMATION. After the trial period or time recommended for activation expires, your rights to use the software will be withdrawn until the software is activated. This is to prevent its unlicensed use. You can activate the software by Internet; Internet service charges may apply. Some changes to your computer components or the software may require you to reactivate the software. THE SOFTWARE WILL REMIND YOU TO ACTIVATE UNTIL YOU DO. d. Validation The software will from time to time update or require download of the validation feature of the software. Validation verifies that the software has been activated and is properly licensed. Validation also permits you to use certain features of the software or to obtain additional benefits. During a validation check, the software will send information about the software to Argonaut Systems. This information includes the version of the software and the product key. Argonaut Systems does not use the information to identify or contact you. BY USING THE SOFTWARE, YOU CONSENT TO THE TRANSMISSION OF THIS INFORMATION. e. Internet-based Services Argonaut Systems provides Internet-based services with the software. Except as otherwise noted in materials accompanying a service, it may change or cancel them at any time. The software may connect to Argonaut Systems over the Internet. In some cases, you will not receive a separate notice when they connect. Unless otherwise noted, you may switch off these features or not use them. BY USING THESE FEATURES, YOU CONSENT TO THE TRANSMISSION OF THIS INFORMATION. You may not use these Internet-based services in any way that could harm them or impair anyone else’s use of them. You may not use the services to try to gain unauthorized access to any service, data, account or network by any means. f. Complete Agreement This Agreement constitutes the complete Agreement between the parties and supersedes all previous communications and representations or agreements, either oral or written, with respect to the subject matter hereof. g. Amendments; Waiver This Agreement may be modified or changed in whole or in part in any manner other than by an Agreement in writing duly signed by both parties hereto or by a further electronic agreement presented by Argonaut Systems and accepted by you. Argonaut Systems’ failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. h. Severability The parties desire and intend that all of the provisions of this Agreement be enforceable to the fullest extent permitted by law. If any provision of this Agreement or the application thereof to any person or circumstances is, to any extent, construed to be illegal, invalid or unenforceable, in whole or in part, then such provision will be construed in a manner to permit its enforceability under applicable law to the fullest extent permitted by law. In any case, the remaining terms of this Agreement or the application thereof to any person or circumstance, other than those that have been held illegal, invalid or unenforceable, will remain in full force and effect. i. Governing Law This Agreement is governed by and shall be construed in accordance with the laws of England and Wales and the parties submit to the exclusive jurisdiction of English and Welsh courts. j. Export Restrictions The software is subject to United Kingdom export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the software. These laws include restrictions on destinations, end users and end use. h. Language The Software and this Agreement were originally prepared in the English language.

Software Requirements

To install Microsoft .NET Framework 3.0, one of the following operating systems must be installed on the target computer:

• Microsoft Windows XP Home or Microsoft Windows XP Professional, both with Service Pack 2 or later.
• Microsoft Windows Server 2003 family with Service Pack 1 or later.

For Microsoft Windows Vista (not including the IA64 platform) and Microsoft Windows Server code-named "Longhorn" IA64 Edition, .NET Framework 3.0 is a feature of the operating system.

Where to Obtain the .NET Framework 3.0 Redistributable Package

You can download Microsoft .NET Framework 3.0 redistributable package from the Microsoft Vista Download Center or from the Microsoft Windows Update Web site.

Note   The Microsoft Windows Update site offers only the officially released version of the .NET Framework 3.0; it does not offer beta versions.

If you need to have users install the Microsoft .NET Framework 3.0 from the Internet, do not post the redistributable package on your own network. Instead, direct users to the Microsoft Vista Download Center or the Microsoft Windows Update Web site.
